Terms & Conditions

These Terms & Conditions (the “Terms”) govern your access to and use of the platform and human advisory services offered by La Mashine, a simplified joint-stock company (SAS) registered in Toulouse, France, with its registered office at 231 rue Pierre et Marie Curie, 31670 Labège, France (“La Mashine”, “we”, “us”).

Please read them carefully. They should be read together with our Privacy Policy and our GDPR & Data Protection Notice.

1. Acceptance of the Terms

By creating an account, subscribing to a plan or otherwise using our services, you accept these Terms in full. If you do not accept them, you may not use the services. If you use the services on behalf of a company, you represent that you are authorised to bind that company to these Terms.

2. Definitions

In these Terms:

• “Platform” means the La Mashine software-as-a-service application, accessible online.
• “Services” means the Platform together with the human advisory services we provide.
• “Account” means the personal account you use to access the Services.
• “User Content” means the information, documents and other content you submit to the Platform.
• “Plan” means the subscription formula you select, as described in section 3.

3. The Service and Plans

La Mashine offers a SaaS platform combined with human advisory to help founders move their projects forward. We currently offer the following Plans:

• Explore: €0: free access to core Platform features so you can get started.
• Self-service: €25 per month: full access to the Platform for founders who want to work independently.
• Tailored, custom pricing: the Platform combined with dedicated human advisory, scoped to your needs. Terms are set out in a separate order or agreement.

Prices are stated exclusive of applicable taxes unless indicated otherwise. We may change our Plans and prices; existing subscriptions continue at their agreed price until the end of the current billing period, and any change applies from the next renewal.

4. Accounts

You must provide accurate information when creating your Account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify us promptly at contact@lamashine.com if you suspect any unauthorised use of your Account.

5. Payment and billing

Paid Plans are billed in advance on a recurring basis (monthly, unless stated otherwise) through our payment provider. By subscribing, you authorise us to charge the applicable fees to your chosen payment method for each billing period until you cancel.

If a payment fails, we may suspend access to paid features until the outstanding amount is settled. All fees are payable in euros.

6. Cancellation and refunds

You may cancel a paid subscription at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you retain access to paid features until then. We do not provide pro-rata refunds for partial billing periods, except where required by applicable law.

Where you subscribe as a consumer and a statutory right of withdrawal applies, we will honour that right in accordance with the law.

7. Acceptable use

When using the Services, you agree not to:

• Use the Services for any unlawful, harmful or fraudulent purpose;
• Attempt to gain unauthorised access to the Platform, other accounts or our systems;
• Interfere with, disrupt or overload the Services or the underlying infrastructure;
• Copy, resell or make the Services available to third parties except as expressly permitted;
• Upload malicious code or content that infringes the rights of others.

We may suspend or terminate access if you breach this section.

8. Intellectual property

The Platform, including its software, design, content, trademarks and our proprietary framework, is and remains the exclusive property of La Mashine or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, solely for your own project. No other rights are granted.

9. User Content and confidentiality

You retain all rights in your User Content. You grant us a limited licence to host, process and display it solely to provide the Services to you. We treat your User Content as confidential and grant access only on a need-to-know basis, whether to our staff or to advisors and teams you choose to involve.

You are responsible for ensuring you have the rights necessary to submit your User Content and that it does not infringe the rights of others.

10. Disclaimers

We promise movement, not success. La Mashine helps you make progress on your project, but we do not guarantee any particular business outcome, result, revenue, funding or growth. Building a company remains your responsibility and depends on many factors beyond our control.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose. Advisory input is professional opinion, not a guarantee.

11. Limitation of liability

To the fullest extent permitted by law, La Mashine shall not be liable for any indirect or consequential loss, nor for any loss of profit, revenue, data, business opportunity or goodwill. Our total liability arising from or in connection with the Services, over any twelve-month period, shall not exceed the amount you paid us for the Services during that period.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence or wilful misconduct.

12. Termination

You may stop using the Services and close your Account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay, or use the Services in a way that harms us or others. On termination, your right to use the Services ends and we will handle your data in accordance with our Privacy Policy.

13. Governing law and jurisdiction

These Terms are governed by French law. Any dispute relating to their validity, interpretation or performance shall, failing an amicable resolution, be submitted to the competent courts within the jurisdiction of Toulouse, France, subject to any mandatory rules that apply where you are a consumer.

14. Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date above and, where appropriate, notify you. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
